Violation of any of the above provisions may result in immediate termination of your account, cancellation of pending orders, and potential legal action where warranted.
5. Intellectual Property Rights

Risk of loss and title to food items pass to you upon delivery to the address specified in your order. - WARRANTIES THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- DAMAGES ARISING FROM YOUR RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE SITE;
- DAMAGES ARISING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dewey's Pizza and you. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza and its owners, officers, directors, employees, agents, licensors, contractors, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees, litigation costs, and court fees) arising out of or related to:
- Your access to or use of the Site or Services;
- Your violation of any provision of these Terms;
- Your violation of any applicable law, regulation, or third-party right, including any intellectual property right, privacy right, or proprietary right;
- Any content, information, or materials you submit to or transmit through the Site;

- Any dispute between you and another user or third party in connection with your use of the Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with our defense of such claims. You shall not settle any claim without our prior written consent.

Subject to the dispute resolution provisions set forth in Section 15, you irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located within the applicable United States jurisdiction for the resolution of any legal dispute that is not subject to arbitration. You waive any objection to such jurisdiction and venue, including any objection based on improper venue or inconvenient forum.
These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Dewey's Pizza at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We agree to attempt to resolve the dispute informally within thirty (30) calendar days of receiving your notice. If the parties are unable to reach a resolution within that period, either party may proceed to formal dispute resolution as described below.
15.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except as set forth in Section 15.3, if informal resolution is unsuccessful, all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or the Services shall be resolved exclusively through binding arbitration conducted by a recognized arbitration association (such as the American Arbitration Association (AAA)) in accordance with its then-current Consumer Arbitration Rules. The arbitration shall be conducted in the English language, and the arbitral award shall be final and binding upon the parties.
The arbitration shall take place in the state where Dewey's Pizza is primarily located, unless the parties agree otherwise. The costs and fees of arbitration shall be allocated in accordance with the applicable arbitration rules. Each party shall bear its own attorneys' fees, except where the arbitrator determines that an award of attorneys' fees is appropriate under applicable law.
15.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent imminent and irreparable harm. Such proceedings shall not constitute a waiver of the right to arbitrate other claims.
15.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
16. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Site or Services, including maintaining an account with us. Either party may terminate this Agreement at any time for any reason.

17. Changes to Terms
Dewey's Pizza reserves the right to modify, amend, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page. We may also, at our discretion, provide additional notice via email or a prominent notice on the Site.

18. Severability

19. Waiver
The failure of Dewey's Pizza to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. No single or partial exercise of any right or remedy shall preclude the further exercise of that or any other right or remedy. A waiver by Dewey's Pizza of any default shall not constitute a waiver of any subsequent default or breach.
20. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dewey's Pizza on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, between the parties regarding the subject matter. No other oral or written representations, promises, understandings, or agreements made by either party shall be binding unless expressly included in these Terms.
21. Force Majeure
Dewey's Pizza shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, floods, fires, earthquakes, epidemics, pandemics, government actions, civil unrest, labor disputes, supply chain disruptions, power outages, internet or telecommunications failures, or any other force majeure event. In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume performance as soon as practicable.
